Agreement to Terms

By accessing or using the website at cybersecurepros.net (the “Site”) or purchasing any services from Cyber Secure Pros (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use our Site or services. These Terms apply to all visitors, clients, and others who access or use our services.

Description of Services

Cyber Secure Pros provides managed IT and cybersecurity services, including but not limited to:

• Network Security and Perimeter Defense
• Quantum-Resistant Encryption
• Zero Trust Access (ZTA) Implementation
• Managed Detection & Response (MDR)
• Disaster Recovery & Business Continuity Planning
• Vulnerability Management and Penetration Testing
• Cloud Fortification (AWS, Azure, Google Cloud)
• Governance, Risk & Compliance (HIPAA, GDPR, ISO 27001)

Service details, inclusions, and pricing are outlined in the applicable service plan or Statement of Work (SOW) agreed upon at the time of purchase.

Subscription Plans and Billing

Plan Selection

We offer Bronze, Silver, Gold, and Custom managed IT and cybersecurity plans. By selecting a plan, you agree to the pricing, hours, and inclusions listed at the time of purchase. A one-time Remote Monitoring & Management (RMM) onboarding fee applies to Bronze, Silver, and Gold plans.

Auto-Renewal

All subscription plans auto-renew at the end of each billing cycle at the regular rate unless cancelled. You authorize us to charge your payment method on file for renewal amounts. Notice of auto-renewal will be provided prior to the renewal date.

Cancellation

You may cancel your subscription by contacting us at support@cybersecurepros.net at least 30 days prior to the next billing date. Cancellation will take effect at the end of the current billing period. Onboarding fees are non-refundable.

Late Payments

Invoices not paid within 15 days of the due date may result in suspension of services. Cyber Secure Pros reserves the right to charge a late fee of 1.5% per month on overdue balances.

Acceptable Use

You agree to use our services only for lawful purposes. You shall not:

• Use our services to engage in any illegal activity or violate any applicable local, state, national, or international laws or regulations.
• Attempt to gain unauthorized access to any systems, networks, or data.
• Transmit malicious software, viruses, or any other harmful code.
• Misrepresent your identity or provide false information.
• Interfere with or disrupt the integrity or performance of our services.

Client Responsibilities

To enable effective service delivery, you agree to:

• Provide accurate and complete information about your IT environment.
• Maintain valid licenses for all software deployed in your environment.
• Designate an authorized point of contact for service coordination.
• Grant necessary access permissions required for service delivery.
• Promptly notify us of any security incidents or suspected breaches.

Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, icons, images, and software, is the property of Cyber Secure Pros or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Any proprietary methodologies, tools, scripts, or documentation developed by Cyber Secure Pros during service delivery remain the exclusive intellectual property of the Company, unless otherwise agreed in writing.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of service delivery. Cyber Secure Pros will not disclose your confidential business or technical information to third parties except as required by law or with your written consent. This obligation survives the termination of our engagement.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CYBER SECURE PROS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to Cyber Secure Pros in the three (3) months preceding the event giving rise to the claim.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WHILE WE STRIVE TO PROVIDE INDUSTRY-LEADING SECURITY SERVICES, WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL THREATS WILL BE DETECTED OR PREVENTED.

Indemnification

You agree to defend, indemnify, and hold harmless Cyber Secure Pros, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of our services.

Third-Party Services

Our services may integrate with or rely on third-party platforms and tools (e.g., cloud providers, endpoint security vendors). Cyber Secure Pros is not responsible for the availability, security, or actions of such third-party services. Your use of third-party services is subject to those parties’ terms and conditions.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Walker County, Texas.

Before initiating formal legal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our Site with a revised effective date. Your continued use of our services after such changes constitutes your acceptance of the new Terms.

Termination

We reserve the right to suspend or terminate your access to our services at any time for violation of these Terms, non-payment, or any other reason at our discretion, with or without notice. Upon termination, all licenses granted herein shall cease, and you shall have no further right to use our services.
